CONSTITUTION
THE CONTOOCOOK VALLEY RADIO CLUB
Preamble
We the undersigned, wishing to secure for ourselves the pleasures and benefits of the associations of persons commonly interested in Amateur Radio, do hereby constitute ourselves THE CONTOOCOOK VALLEY RADIO CLUB, and do enact this Constitution as our governing law. It shall be our purpose to facilitate the exchange of information and general co-operation between Members, to promote radio knowledge, fraternalism, and individual operating efficiency, and to so conduct Club programs and activities as to advance the general interest and welfare of Amateur Radio in the general community.
ARTICLE I
MEMBERSHIP
SEC I: All persons interested in Amateur Radio shall be eligible for membership. Membership shall be by application, upon the terms as the CLUB shall by its By-Laws provide.
ARTICLE II
OFFICERS
SEC I: The officers of this CLUB shall be: a President, Vice-President, a Secretary, and a Treasurer.
SEC II: The Officers of this Club shall be elected for a term of one year by ballot of the Members present, provided there be a quorum, at the last regularly scheduled Club Meeting of the calendar year. Should this Meeting be postponed due to unforeseen circumstances, the present Officers shall continue their terms until such elections can be held.
SEC III: Vacancies occurring between elections must be filled by special ballot, at the first Regular Meeting at which the withdrawal or resignation is announced.
SEC IV: An Officer may be removed on motion by a three-fourths vote of the Members in attendance at a Regular or Special Club Meeting.
SEC V: A Steering Committee shall consist of the elected Officers and any interested Club Members in good standing.
ARTICLE III
DUTIES OF THE OFFICERS
SEC I: The President shall preside at all Meetings of this Club, and conduct the same according to the rules adopted, enforce due observance of the Constitution and the By-Laws, decide all questions of order, sign all official documents that are adopted by the Club, appoint such Committees as are necessary to carry out the purposes of the Club, and perform all customary duties pertaining to the Office of President.
SEC II: The Vice-President shall assume all the duties of the President in the absence of the latter, as well as any additional duties prescribed in the By-Laws.
SEC III: The Secretary shall keep a record of the proceedings of all Club Meetings, keep a roll of Members, submit applications for membership, carry on all Club correspondence, and read communications at each Meeting. At the term expiration, the Secretary shall turn over all Club documents to his/her successor.
SEC IV: The Treasurer shall receive and receipt all monies paid to the Club, and shall keep an accurate account of all moneys received and expended. He/She shall pay no bills without proper authorization by the Club, or its Steering Committee. At the end of each quarter year, the Treasurer shall submit an itemized statement of disbursements and receipts. At term expiration, the Treasurer shall turn over all Club documents to his/her successor.
SEC V: The Steering Committee shall conduct routine business of the CLUB.
ARTICLE IV
MEETINGS
SEC I: The By-Laws shall provide for the regular and special meetings. At meetings, all present and voting members shall constitute a quorum for the transaction of business.
ARTICLE V
DUES
SEC I: THE CONTOOCOOK VALLEY RADIO CLUB may levy upon the general membership such dues or assessments as shall be deemed necessary for the business of the Organization within its purpose as set forth in the Preamble hereof.
ARTICLE VI
AMENDMENTS
SEC I: This Constitution or the By-Laws may be amended by a two-thirds majority of the Club Members present at a Regular or Special Meeting, provided that all Club Members have been notified by postal mail or electronic mail of the intent to amend the Constitution and/or the By-Laws at a specified Meeting. Proposals for amendments shall be submitted to the President in writing.
ARTICLE VII
RULES
SEC I: Roberts Rules shall govern all meetings.
